1. Application Of These Terms and Conditions
1. 本条款和条件的适用
1.1 The Seller carries on the business of selling the Goods and it shall sell and the Buyer shall purchase the Goods in accordance with any quotation or offer of the Seller which is accepted by the Buyer, or any order of the Buyer which is accepted by the Seller.

1.2 The Conditions shall govern the Contract to the exclusion of any other terms and conditions whether any such quotation is accepted or purported to be accepted by the Buyer or any such order is made or purported to be made by the Buyer on or subject to any other terms or conditions.

2. Interpretation

2.1 In this document:

“Business Day” means any day other than a Saturday, Sunday or bank holiday in England.

“Buyer” means the person incorporated, established or resident in any territory other than England & Wales who accepts a quotation of the Seller which states that it is an offer to sell the Goods to that person or whose order for the Goods is accepted by the Seller.
“买方(Buyer)” 指在英格兰及威尔士以外任何地区注册成立、设立或居住,并接受卖方表明系向其销售货物之要约的报价,或其货物订单被卖方接受的人士。
“Conditions” means the standard terms and conditions of sale set out in this document and (unless the context otherwise requires) also includes any special terms and conditions agreed in writing between the Buyer and the Seller.
“条款” 指本文件所列的标准销售条款和条件,且(除非上下文另有要求)亦包括买方与卖方书面约定的任何特殊条款和条件。
“Contract” means the contract for the purchase and sale of the Goods under these Conditions.
“合同” 指依据本条款订立的货物买卖合同。
4. Basis of Sale

4.1 No contract for the sale of Goods to the Buyer shall arise unless and until:

4.1.1 the Seller has issued a written quotation to the Buyer which is expressed to be an offer to sell the Goods to the Buyer on the terms of these Conditions and the Buyer unconditionally accepts that offer on those terms; or
4.1.1 卖方向买方发出书面报价,该报价明确表示为依据本条款向买方销售货物的要约,且买方无条件依据该等条款接受该要约;或
4.1.2 the Seller has at its discretion unconditionally accepted an order received by it from the Buyer, and, for this purpose, acceptance by the Seller shall be whichever is the earliest, either the:

4.1.2.1 Seller’s written acceptance of the order; or

4.2 A quotation issued by the Seller shall only be capable of acceptance by the Buyer until the date which the quotation states is the last date on which it may be accepted.

4.3 [n] order placed by the Buyer may not be withdrawn[,] cancelled or altered prior to acceptance by the Seller [except as the Seller may agree in writing at any time prior to acceptance].

4.4 A quotation by the Seller, or an acceptance of order by the Seller consisting of a written acceptance of an order or of issue of an invoice, shall only be valid if in writing and signed by an authorised representative of the Seller.
4.4 卖方的报价,或卖方对订单的接受(包括对订单的书面接受或开具发票),仅当其为书面形式并由卖方授权代表签署方为有效。
4.5 No order which has been accepted by the Seller may be cancelled by the Buyer except with the agreement in writing of the Seller and on terms that the Buyer shall indemnify the Seller in full against all loss (including loss of profit), costs (including the cost of all labour and materials used), damages, charges and expenses incurred by the Seller because of cancellation.
4.5 任何已被卖方接受的订单,买方均不得取消,除非获得卖方书面同意,且买方同意根据卖方因取消而遭受的全部损失(包括利润损失)、成本(包括所用全部人工和材料的成本)、损害赔偿、收费和支出,向卖方作出全额赔偿。
4.6 Sales literature, price lists and other documents issued or published (whether in hard copy or electronic form) by the Seller in relation to the Goods are subject to alteration without notice and do not constitute offers to sell the Goods which are capable of acceptance.

4.7 Any typographical, clerical, or other accidental errors or omissions in any sales literature, quotation, price list, acceptance of offer, invoice or other document or information issued or published by the Seller shall be subject to correction without any liability on the part of the Seller.
4.7 卖方签发或发布的任何销售资料、报价、价目表、要约接受书、发票或其他文件或信息中的任何印刷错误、笔误或其他意外错误或遗漏,应予以更正,卖方对此不承担任何责任。
4.8 The Seller’s employees or agents are not authorised to make any representations or claims concerning the Goods unless confirmed by the Seller in writing. In entering the Contract, the Buyer acknowledges that it does not rely on, and waives any claim for breach of or failure to fulfil, any such representations or claims which are not so confirmed.

5. Specifications

5.1 The specifications for the Goods shall be those set out in the Seller’s sales documentation unless varied expressly in the Buyer’s order and the variations are expressly accepted by the Seller.

5.2 The Seller reserves the right to make any changes in the specifications of the Goods which are required to conform with any applicable safety or other statutory or regulatory requirements or, where changes to those specifications do not materially adversely affect the quality or performance of the Goods.

5.3 Illustrations, photographs, or descriptions whether in catalogues, brochures, price lists or other documents issued by the Seller are intended as a guide only and the contents shall not be binding on the Seller.

5.4 The Goods will only be supplied in the minimum units (or multiples) stated in the Sellers price list or, where the Goods are supplied in outer packages containing a specified number of units, then in multiples of that specified number. Orders received for quantities other than these will be adjusted to the nearest multiple accordingly.

6. Price

6.1 The price of the Goods shall be the price listed in the quotation current at the date of acceptance of the Buyer’s order or such other price as may be agreed in writing by the Seller and the Buyer.
6.1 货物价格应为接受买方订单之日有效的报价单中所列价格,或经卖方和买方书面同意的其他价格。
6.2 Where the Seller has quoted a price for the Goods other than in accordance with the Seller’s published quotation the price quoted shall be valid for 3 days only or such other time as the Seller may specify in the quotation.
6.2 如果卖方提供的货物报价不符合其公布的报价,则该报价有效期仅为3天,或卖方在报价中指定的其他期限。
6.3 The Seller reserves the right, by giving notice to the Buyer at any time before delivery, to increase the price of the Goods to reflect any increase in the cost to the Seller which is due to any factor beyond the control of the Seller (including, without limitation, any foreign exchange fluctuation, currency regulation or alteration of duties, any change in delivery dates, quantities or specifications for the Goods which is requested by the Buyer, or any delay caused by any instructions of the Buyer or failure of the Buyer to give the Seller adequate information or instructions).
6.3 卖方保留在交货前任何时间通知买方提高货物价格的权利,以反映因卖方无法控制的任何因素(包括但不限于任何外汇波动、货币管制或关税变动、买方要求的交货日期、数量或货物规格的任何变更,或因买方的任何指示或未能向卖方提供充分信息或指示而造成的任何延误)导致的卖方成本增加。
7. Payment

7.1 Subject to any special terms agreed in writing between the Buyer and the Seller, the Seller shall on or at any time after despatch of the Goods invoice the Buyer for the price and all other sums due in respect of the sale and delivery of the Goods.
7.1 在遵守买卖双方书面约定的任何特殊条款的前提下,卖方应在货物发运之时或之后任何时间,就货物销售和交付的价款及所有其他应付款项向买方开具发票。
7.2 Invoices are based on the quantity and condition of Goods and at weights established by the Seller when the Goods leave the Seller’s factory or warehouse.

7.3 The Buyer shall pay the price of the Goods and other amounts due on the payment date stated in the Sales Order Confirmation. The time of payment by the Buyer shall be of the essence of Contract.

8. Delivery /

8.1 Delivery of the Goods shall take place and risk in the Goods will pass in accordance with Incoterms where applicable, otherwise delivery of the Goods shall be made:

8.1.1 by the Seller tendering bills or other appropriate documents of lading, or

8.1.2 by delivering the Goods to the place specified in the Buyer’s orders, or
8.1.2 将货物运至买方订单中指定的地点;或
8.1.3 by the Buyer’s acceptance at the location to which the Goods are to be delivered by the Seller, or
8.1.3 买方在卖方应交付货物的地点接收货物;或
8.1.4 if no place of delivery is so specified, by the Buyer collecting the Goods at the Seller’s premises at any time after the Seller has notified the Buyer that the Goods are ready for collection.
8.1.4 如果未指定交货地点,则在卖方通知买方货物已备妥待提取后,买方可在任何时间前往卖方营业场所提取货物。
8.2 On delivery, the Seller (or its appointed carrier) shall provide the Buyer with such necessary export documents (including any necessary customs declarations or export licences) which the Buyer is unable to prepare or provide.
8.2 在交付时,卖方(或其指定的承运人)应向买方提供买方无法准备或提供的必要出口单据(包括任何必要的报关单或出口许可证)。
9. Insurance /

9.1 Unless otherwise expressly agreed in writing by the Buyer and the Seller, goods sold C.I.F. will be insured from the time the Goods leave the warehouse or place of storage at the commencement of transit, throughout the ordinary course of transit and until:
9.1 除非买卖双方另有明确的书面约定,按C.I.F.条件销售的货物,其保险期间自货物离开启运地仓库或储存处所开始运输之时起,贯穿正常运输过程,直至:
9.1.1 delivery to the Buyer’s or other final warehouse or place of storage at the destination named in the Buyer’s order.

9.1.2 delivery to any other warehouse or place of storage whether prior to delivery at the destination named in the Buyer’s order or acknowledgement or order which the Buyer may elect to use either:
9.1.2 交付至买方选择使用的任何其他仓库或储存处所(无论该仓库或处所是否位于买方订单或订单确认书指定的目的地之前),且买方选择该仓库或处所用于:
9.1.2.1 for storage other than in the ordinary course of transit, or.

9.1.3 the expiry of 3 days after completion of discharge over side of the Goods from the overseas vessel at the final port of discharge or on the expiry of 3 days after unloading the Goods from an aircraft at the final place of discharge, whichever shall first occur.
9.1.3 货物在最终卸货港自远洋船舶卸离船边后满3天,或在最终卸货地自飞机卸货后满3天,以先发生者为准。
11. Risk And Property

11.1 Risk of damage to or loss of the Goods shall pass to the Buyer in accordance with the relevant provision of Incoterms or where Incoterms do not for any reason apply:
11.1 货物损坏或灭失的风险应根据《国际贸易术语解释通则》的相关规定转移至买方,或者如果因任何原因《国际贸易术语解释通则》不适用,则按下述规定转移:
11.1.1 In the case of Goods to be delivered at the Seller’s premises, the time when the Seller notifies the Buyer that the Goods are available for collection; or
11.1.1 如果货物在卖方营业地交付,风险于卖方通知买方货物可供提取时转移;或
11.1.2 In the case of Goods to be delivered otherwise than at the Seller’s premises; the time of delivery or, if the Buyer wrongfully fails to take delivery of the Goods, the time when the Seller has tendered delivery of the Goods.
11.1.2 如果货物在卖方营业地以外的地点交付,风险于交付时转移,或者如果买方不当拒绝接收货物,则于卖方提供货物交付时转移。
11.2 Notwithstanding delivery and the passing of risk in the Goods, or any other provision of these Conditions, the property in the Goods shall not pass to the Buyer until the Seller has received in cash or cleared funds payment in full of the price of the Goods and all other Goods agreed to be sold by the Seller to the Buyer [and all other amounts for the Buyer’s account] for which payment is then due.

17. Data Protection

The Seller will only collect, process, and use the Buyer’s personal data as set out in the Seller’s Privacy policy.

18. Communications
18. 通讯
18.1 All communications between the parties about the Contract shall be in writing and delivered by hand or sent by pre-paid first-class post or by e-mail and in case of communications to:
18.1 双方就本合同进行的所有通讯均应采用书面形式,通过专人递送、预付邮资的一级邮件或电子邮件发送。如果通讯对象为:
18.1.1 the Seller, to its registered office or email address or such changed postal address or email address as shall be notified to the Buyer by the Seller; or
18.1.1 卖方,应发送至其注册办公地址或电子邮箱地址,或卖方通知买方的变更后的邮政地址或电子邮箱地址;或
18.1.2 to the Buyer, to the registered office of the addressee (if it is a company) or (in any other case) to any postal or email address of the Buyer set out in any document which forms part of the Contract or such other postal or email address as shall be notified to the Seller by the Buyer.
18.1.2 向买方发送通知,应送至收件人的注册办公地址(如果收件人为公司)或(在任何其他情况下)送至构成合同组成部分的任何文件中载明的买方任何邮政地址或电子邮件地址,或买方随后通知卖方的其他邮政地址或电子邮件地址。
18.2 Communications shall be deemed to have been received:

18.2.1 if sent by pre-paid first-class post, two Business Days after posting (exclusive of the day of posting); or

18.2.2 if delivered by hand, on the day it is left at the proper address; or

18.2.3 if sent by e-mail on a Business Day prior to 4.00 pm, at the time of sending and otherwise at 9.00 am on the next Business Day.

18.3 Communications addressed to the Seller shall be marked for the attention of Simon Cullen.

19. Force Majeure

19.1 If either party is prevented from or delayed in fulfilling its obligations under the Contract by reason of any supervening event, circumstance or cause beyond its reasonable control including but not limited to war, national emergency, acts, restrictions, regulations, byelaws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority, pandemic, flood, fire, tempest, earthquake, import or export regulations or embargoes, strike, or lockout (subject to Sub-clause 19.2) or any similar or dissimilar event, circumstance or cause, the party shall not be deemed to be in breach of its obligations under the Contract. The party shall immediately give notice of this to the other party and must take all reasonable steps to resume performance of its obligations.
19.1 如果任何一方因发生超出其合理控制的任何突发事件、情况或原因(包括但不限于战争、国家紧急状态、任何政府、议会或地方当局的任何行为、限制、法规、地方法规、禁令或措施、流行病、洪水、火灾、风暴、地震、进出口法规或禁运、罢工或停工(受第19.2款约束)或任何类似或非类似的事件、情况或原因)而受阻或延迟履行其在本合同项下的义务,则该方不应被视为违反其在本合同项下的义务。该方应立即将此情况通知另一方,并必须采取一切合理措施恢复履行其义务。
19.2 Sub-clause 19.1 shall not apply with respect to strikes and lockouts where such action has been induced by the party so incapacitated.

19.3 Each party shall be liable to pay to the other damages for any breach of the Contract and all expenses and costs incurred by that party in enforcing its rights under the Contract.
19.3 任何一方违反本合同的,应负责向另一方支付损害赔偿金,并承担该另一方在行使其本合同项下权利时产生的所有费用和成本。
19.4 When the period of such incapacity exceeds 6 months, then the Contract shall automatically terminate unless the parties first agree otherwise in writing.
19.4 如果该履约受阻的期间超过6个月,则本合同应自动终止,除非双方事先另行书面同意。
